Synopsis: This subject involves an introductory study of the law regulating companies in Australia. Topics include the Corporations Law scheme; the role and functions of the Australian Securities and Investments Commission; the characteristics of a company and the concept of limited liability; the effect of registration; the corporate constitution; the company's relationship with outsiders; share and loan capital; regulation of public fundraising; duties of directors, officers and promoters; rights of members and minority shareholder protection; the various forms of corporate insolvency administration, particularly as they affect creditors, officers and shareholders.

Assessment: Written (2000 words): 20% + Examination: 80%
