Synopsis: Topics may include the Corporations Law scheme; the role and functions of the Australian Securities and Investments Commission; the concept of limited liability; the effect of incorporation; the corporate constitution; the company0s relationship with outsiders; share and loan capital; regulation of public fund raising; duties of directors, officers and promoters; rights of members and minority shareholder protection; takeover regulation; forms of corporate insolvency administrations, particularly as they affect creditors, officers and shareholders.

Assessment: Written (2000 words): 20% + Examination (3.5 hours - includes 0.5 hours for reading and note taking): 80%
