Synopsis

On completion of this unit students will have covered the following topics: 1) Choice of the corporate business form, formation and characteristics of a corporation; 2) The corporate constitution; 3) Corporate finance, share structure and membership; 4) Constitution and powers of the corporate organisations (board and general meeting); 5) Corporate authority; 6) Governance of the corporation; director's duties; 7) Governance of the corporation; shareholder's remedies; 8) Administration and winding up of the corporation.

Objectives

On completion of this unit, students will have:

  1. knowledge and understanding of key concepts and principles of corporate law;
  2. knowledge and understanding of legislation and policy in the core areas of corporate law;
  3. an ability to think critically about the impact of these concepts, principles, legislation and policy on the social and economic context in which they operate;
  4. an ability to apply these concepts, principles, legislation and policy to new situations, including those induced by electronic and communications technology and
  5. an ability to conduct independent research in corporate law and convey the results of this and the above objectives both orally and in writing.

Assessment

One 2,000 word research essay 40% and final exam (2 hours plus 30 minutes reading and noting time) 60%
