SynopsisTopics include the Corporations Act 2001 scheme; the role and functions of the Australian Securities and Investments Commission; the concept of limited liability; the effect of registration; the corporate constitution; the company's relationship with outsiders; share and loan capital; regulation of public fund raising; duties of directors; rights of shareholders and minority shareholder protection; forms of corporate insolvency administrations, particularly as they affect creditors, officers and shareholders.
