Synopsis: Principal topics to be covered include 1) the disclosure philosophy and its application to different types of company; 2) attribution of knowledge of corporate officers to the corporation; 3) implications of mandated disclosure for other areas of securities regulation; 4) electronic sources of company information; 5) shareholder and director access to corporate information and 6) the practical accessibility and usefulness to shareholders of both mandated disclosure information and other sources of corporate information.
Objectives: On completion of this subject students should: 1) understand current theoretical debates about mandatory corporate disclosure; 2) understand the links between corporate disclosure obligations and other aspects of securities regulation; 3) be able to advise a hypothetical company on what information it is required to disclose; 4) be able to advise a hypothetical director or shareholder as to their ability to access corporate information; 5) be familiar with the types of corporate information that are accessible via the Internet; 6) understand the practical implications for shareholders of their ability to access information and the types of information that are available to them, electronically or otherwise; 7) develop and demonstrate oral communication skills and skills of presentation of legal concepts, rules and argument in an interactive seminar context; and 8) develop and demonstrate legal research and writing and legal argument skills.
Assessment: Research paper (7000 words): 90% + class participation: 10%
