Corporate information and the internet (6 points)

Synopsis: Principal topics to be covered include 1) the disclosure philosophy and its application to different types of company; 2) attribution of knowledge of corporate officers to the corporation; 3) implications of mandated disclosure for other areas of securities regulation; 4) electronic sources of company information; 5) shareholder and director access to corporate information and 6) the practical accessibility and usefulness to shareholders of both mandated disclosure information and other sources of corporate information.

Assessment: Research paper (7000 words): 90% + class participation: 10%

Prerequisites: Law 4171 or equivalent
