Synopsis: Topics include the Malaysian company law regime; the role and function of the Registrar of Companies and the Securities Commission; the characteristics of a company and the concept of limited liability; the effect of incorporation; the corporate constitution; the company's relationship with outsiders; share and loan capital; regulation of public fund raising; duties of directors, officers and promoters; rights of members and minority shareholder protection; takeover regulation; forms of corporate insolvency administrations, particularly as they affect creditors, officers and shareholders.

Assessment: Assignment (2000 words): 20% + Examination (3 hours): 80%

Contact Hours: Two 1-hour lectures and one 1-hour tutorial per week

Prerequisites: BTC1110 or BTC2110 or equivalent
