Takeovers

6 credit points + One 2-hour seminar per week + City + Prerequisite: LAW5214

Synopsis: The subject will address the desirability of takeovers and the need for regulation; the general scheme of regulation in Australia; the principal means of effecting takeovers; defensive strategies and tactics; compulsory acquisition; the regulatory structure, including the respective roles and powers of the Australian Securities and Investments Commission, the Corporations and Securities Panel, the Australian Competition and Consumer Commission and the Australian Stock Exchange Ltd; and the means by which regulatory decisions may be challenged.

Assessment: Research paper (3750 words): 50% + Final examination (1.5 hours): 50%
