3-hour session per week + Second semester + Clayton + Prerequisite: BTC9110 or equivalent

Synopsis: Topics include the Corporations Law scheme; the role and functions of the Australian Securities and Investments Commission; the concept of limited liability; the effect of registration; the corporate constitution; the company's relationship with outsiders; share and loan capital; regulation of public fundraising; duties of directors, officers and promoters; rights of members and minority shareholder protection; takeover regulation; forms of corporate insolvency administrations, particularly as they affect creditors, officers and shareholders.

Assessment: Assignment (2000 words): 20% + Examination: 80%
