Synopsis: An examination of the Australian law relating to the structure, functions and operations of sole proprietorships and partnerships; the characteristics of a corporation; the position of promoters and pre-registration contracts; the effects of registration; the corporate constitution; contractual relations with outsiders; duties and responsibilities of directors; rights of shareholders; meetings; prospectuses; pre-liquidation and liquidation arrangements; trusts.

Assessment: Written (essay): 30% + Examination: 70%
