Business finance: law and practice

Objectives On completion of this subject students should (1) understand the different forms of financing available to corporations and the legal conditions and constraints involved in each type of finance; (2) be familiar with the legal documentation of those transactions; and (3) understand the reasons behind the choice of a particular form of financing by corporations.
Synopsis The subject examines various types of business finance used by corporations in Australia. The subject will study forms of short, medium and long term financing, including domestic and some international financing. It will also include reference to securitisation and participations. Topics will include legal concepts relating to finance, banking and securities and also practical transactional issues such as documentation and revenue considerations.
Assessment Research paper (5000 words): 50% * Supervised examination (2 hours): 40% * Class participation: 10%
