Issues in corporations law

6 points + 3 hours per week + First, second semester + Caulfield

Objectives On completion of this subject students should have a sound knowledge of the more complex areas of company law such as takeovers and re-contractions, rights of minority members, charges; have an understanding of the law relating to secondary trading and the securities industry; have a thorough appreciation of the different forms of company insolvency; be able to appreciate legal problems in regard to the aforesaid; be able to communicate with lawyers and professionals about these matters.

Synopsis Topics include membership and nature of shareholding; company officers, functions and duties; rights of infringed minority members; prospectuses and secondary trading; the securities industry and prohibited market practices; acquisition of shares and takeovers; company reconstructions; charges; company insolvency.

Assessment Assignment (3000-4000 words): 30% + Examination (3 hours, open-book): 70%
