This subject will examine incorporated and unincorporated associations, partnerships and companies with a view to analysing the rights and duties of the group entity and of the individuals who make up the group. In the course of this examination, the property rights attaching both to the group and to the individual will be discussed as will the rights inter se of the members and the rights and liabilities of the group and its members to third parties, the methods of joining and leaving the association, partnership or company and the restrictions which the law imposes upon those controlling the affairs of the group or company. The common law rules and relevant statutes will be examined through a collection of cases and materials. Students will be invited to analyse the public policy basis upon which court decisions and legislative changes have been premised and will be expected to develop an appreciation of inherent differences and comparative advantages and disadvantages of each.
