This subject is intended to give students an overview of the legal principles that govern various modern forms of business association not dealt with in LAW5106 (Company law 515) and LAW5105 (Advanced company law 515). Essential to this study is an understanding of the application of basic principles of agency and fiduciary obligations to these different forms of association. The topics to be studied include principles of agency; the law relating to partnerships; joint ventures (their structure and constitution); franchising arrangements (their purpose and structure); and other forms of associations. In studying these topics, students will be asked to consider the purposes and policies underlying the laws governing these different forms of association.

Assessment

Final examination (3 hours plus 30 minutes reading and noting time): 100%
