This subject will examine companies with a view to analysing the rights and duties of the group entity and of the individuals who make up the group, primarily directors, officers and shareholders. The focus will be on the property rights attaching both to the company and to the individual; the rights of the members among themselves; the rights and liabilities of the company and its members to third parties, such as creditors; and the restrictions on those controlling the affairs of the company. Specific topics may include the personality, incorporation, structure, powers, management, and regulation of the company; the duties of directors and of the controlling majority; and minority protection. The common law rules, relevant statutes and underlying policies will be examined through a study of a collection of cases and materials. Where a student has not completed LAW3400 (Property 300), LAW2100 (Contract 200) and LAW2200 (Torts 200), he/she must consult with the subdean before attempting LAW5106 (Company law 515). Although LAW4201 (Equity and trusts 430) is a corequisite, successful completion of this subject would be an asset.
Assessment
Research assignment of 2500 words or 1-hour test: 25% * Final examination (2 hours plus 30 minutes reading and noting time): 75% * Summer semester examination (3 hours plus 30 minutes reading and noting time): 100%
